These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Ponteo ("Ponteo," "we," "us," or "our") governing your access to and use of the Ponteo mobile application and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms within the application or notifying you via email, with a new effective date. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
Ponteo operates a two-sided marketplace platform that connects dental practices ("Practices") with verified dental specialists ("Specialists") for on-demand staffing and specialist referrals. Our Services include the marketplace platform, specialist matching, booking management, credential verification, payment processing, communication tools, and related features.
Ponteo acts as an intermediary platform. We are not a dental practice, a staffing agency, or a healthcare provider. We do not provide dental services, and we do not employ Specialists. The relationship between Practices and Specialists is solely between those parties.
You must be at least 18 years of age and legally authorized to enter into a binding contract to use our Services. If you are registering on behalf of a dental practice or professional entity, you represent that you have the authority to bind that entity to these Terms.
To access certain features, you must create an account by providing accurate, complete, and current information, including your name, email address, and mobile phone number. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
Specialists must provide valid professional credentials for verification, including state dental licensure, board certifications, NPI number, DEA registration (if applicable), and proof of malpractice insurance. Ponteo reserves the right to verify these credentials against state dental board databases, including NYSDA, NJDA, and CSDA records, and to deny or revoke access if credentials are found to be invalid, expired, or misrepresented.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
Practices are responsible for providing accurate case details, maintaining a safe and professional work environment for Specialists, and complying with all applicable dental practice laws and regulations.
Specialists are responsible for maintaining active and valid professional licenses, providing services in accordance with applicable standards of care, arriving on time for confirmed bookings, and maintaining appropriate malpractice insurance coverage.
Practices may post case requests specifying the required specialty, date, location, and other relevant details. Ponteo's matching system identifies and recommends qualified Specialists. Once a Specialist accepts, both parties receive confirmation.
Cancellation policies vary by booking type and are communicated at the time of booking confirmation. Late cancellations may be subject to fees as outlined in the booking confirmation.
Ponteo charges a service fee for facilitating connections between Practices and Specialists. Fee structures are communicated transparently during the booking process. Payments are processed through our third-party payment processor. Specialist payouts are made according to the payout schedule outlined in your account settings.
If a dispute arises between a Practice and Specialist regarding a booking, both parties should first attempt to resolve the matter directly. If resolution cannot be reached, either party may contact Ponteo support at support@ponteo.com for mediation assistance.
By providing your mobile phone number during account registration or login, you agree to receive automated one-time verification code (OTP) messages from Ponteo at the mobile number you provided. These messages are sent solely for identity verification purposes. Consent to receive verification messages is required to use the Services, as phone-based authentication is part of our account security process.
Ponteo sends one-time verification codes via SMS to authenticate your identity during account registration and login. This is the only type of text message Ponteo sends. We do not send marketing messages, promotional messages, booking confirmations, appointment reminders, or any other type of SMS communication.
You consent to receive one-time verification code messages when you provide your mobile phone number during account registration or login and initiate the verification process. By providing your phone number, you confirm that you are the owner or authorized user of the mobile device and phone number provided.
You will receive one (1) text message per login or registration attempt containing a one-time verification code. No recurring or scheduled messages are sent.
You can stop receiving verification code messages at any time by texting "STOP" to any message you receive from Ponteo. After you send "STOP," we will send you a confirmation message and you will no longer receive verification code messages. Please be aware that opting out of verification messages may prevent you from logging in to or accessing your Ponteo account, as phone-based authentication is required for account security.

Carriers are not liable for delayed or undelivered messages.
Your phone number is collected and used solely for identity verification. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. For more details, please read our Privacy Policy.
All content on the Services, including text, graphics, logos, icons, images, software, and compilation of content, is the property of Ponteo or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Ponteo content without our prior written consent.
You retain ownership of any content you submit to the Services, including profile information, reviews, and messages. By submitting content, you grant Ponteo a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with operating and promoting the Services.
Practices may leave reviews and ratings for Specialists after completed bookings. Reviews must be honest, accurate, and based on genuine experiences. Ponteo reserves the right to remove reviews that violate these Terms, including reviews that contain false information, personal attacks, discriminatory language, or content unrelated to the professional engagement.
To the maximum extent permitted by applicable law, Ponteo and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, personal injury, or property damage, arising from your use of or inability to use the Services, even if we have been advised of the possibility of such damages.
Ponteo's total aggregate liability for all claims arising from or related to these Terms or your use of the Services shall not exceed the amount you paid to Ponteo in the twelve (12) months preceding the event giving rise to the claim.
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Ponteo does not warrant that the Services will be uninterrupted, error-free, or secure.
Ponteo does not guarantee the quality, suitability, or availability of any Specialist, and is not responsible for the professional services provided by Specialists. Practices are responsible for conducting their own evaluation of Specialists as they deem appropriate.
You agree to indemnify, defend, and hold harmless Ponteo and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, your violation of any applicable law, or your content.
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
You may terminate your account at any time by contacting us at support@ponteo.com or through your account settings.
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising from or related to these Terms or the Services shall be resolved through binding arbitration in New York, NY, in accordance with the rules of the American Arbitration Association. Either party may seek injunctive or equitable relief in any court of competent jurisdiction.
